Terms of Service

These Terms of Service ("Terms") govern your use of CaterWise (the "Service"), provided by Octet Software ("we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use CaterWise. You are responsible for the accuracy of your account information, for keeping your password secure, and for all activity that occurs under your account.

You retain all rights to the data and content you enter into CaterWise ("Your Content"). You grant us a limited license to host, process, and display Your Content solely to provide the Service to you. You are responsible for Your Content and for ensuring you have the right to store it, including any personal information about your own customers.

4. Acceptable use

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to the Service or other accounts; (c) interfere with or disrupt the Service; (d) reverse engineer or resell the Service; or (e) upload malware or infringing content.

5. Availability

We work to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features at any time. We will give reasonable notice before discontinuing the Service entirely.

6. Termination

You may stop using and delete your account at any time. We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Service ends and your data is handled as described in our Privacy Policy.

7. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or be error-free.

8. Limitation of liability

To the maximum extent permitted by law, Octet Software will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the 12 months before the claim arose.

9. Indemnification

You agree to indemnify and hold harmless Octet Software from any claims or expenses arising out of Your Content or your misuse of the Service.

10. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any disputes will be resolved in the courts located in Ventura County, California.

11. Changes to these Terms

We may update these Terms from time to time. We will update the "Last updated" date and, for material changes, provide additional notice. Continued use of the Service after changes take effect constitutes acceptance.
